These Terms and Conditions ("Terms") govern your use of the website located at mojocommunications.in and any services provided by Mojo Communications Pvt. Ltd. ("Mojo Communications," "we," "us," or "our"), a company registered in Delhi, India. By accessing our website, submitting an enquiry, or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms in full. If you do not agree to these Terms, please discontinue use of our website and services immediately.
1. Acceptance of Terms
By accessing and using the Mojo Communications website or engaging our services, you confirm that you are at least 18 years of age, have the legal authority to enter into binding contracts, and accept these Terms and Conditions in their entirety. These Terms constitute a legally binding agreement between you (the "Client") and Mojo Communications Pvt. Ltd. and supersede any prior or contemporaneous communications, representations, or agreements relating to the subject matter herein.
We reserve the right to modify these Terms at any time. Updates will be posted on this page with a revised "Last Updated" date. Your continued use of our website or services following any changes constitutes your acceptance of the revised Terms. For significant changes, we will make reasonable efforts to notify existing clients directly.
2. Services Offered
Mojo Communications Pvt. Ltd. is a full-service digital marketing agency based in Delhi, India. Our services include but are not limited to: Search Engine Optimisation (SEO), Pay-Per-Click advertising (PPC/Google Ads), Social Media Marketing and Management, Content Marketing and Copywriting, Email Marketing, Website Design and Development, E-Commerce Development, UI/UX Design, Video Editing, Motion Graphics, and Corporate Video Production. The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate Service Agreement or Statement of Work ("SOW") signed by both parties prior to commencement of work.
We make every effort to deliver services as described; however, digital marketing outcomes are inherently variable and depend on factors beyond our direct control, including search engine algorithm changes, platform policy updates, market competition, and client-side implementation of our recommendations. We do not guarantee specific rankings, traffic numbers, lead volumes, or revenue outcomes unless explicitly stated in writing in the applicable SOW.
3. Client Responsibilities
To enable Mojo Communications to deliver services effectively, clients agree to provide accurate, complete, and timely information, access to required accounts and platforms (Google Ads, Analytics, Meta Business Suite, website CMS, etc.), and prompt feedback and approvals within agreed timelines. Delays caused by the client's failure to provide required information, access, or approvals may result in corresponding delays to project delivery, which shall not constitute a breach of our obligations.
Clients are responsible for ensuring that all content, materials, trademarks, and other intellectual property they provide to Mojo Communications for use in campaigns or on their websites are owned by them or properly licensed. Clients shall indemnify Mojo Communications against any claims, losses, or liabilities arising from the use of client-provided materials that infringe third-party intellectual property rights or violate applicable laws.

4. Payment Terms
Mojo Communications operates on a 30-day payment cycle. All invoices are due and payable within 30 days of the invoice date unless otherwise specified in the applicable SOW. For all new projects and retainer engagements, a non-refundable advance payment of 50% of the agreed project fee is required before any work commences. The remaining balance is invoiced at agreed milestones or at project completion, as specified in the SOW. For ongoing monthly retainer services, invoices are raised at the beginning of each calendar month.
Late payments will incur an interest charge of 1.5% per month (18% per annum) on the outstanding balance, calculated from the due date until full payment is received. Mojo Communications reserves the right to suspend or terminate services for accounts that are 15 or more days overdue. All fees are quoted and payable in Indian Rupees (INR) and are exclusive of applicable taxes, including GST, which will be added to invoices at the prevailing statutory rate.
5. Intellectual Property
Upon receipt of full payment for a project, the intellectual property rights in the final deliverables created specifically for the client (such as website designs, written content, and video productions) are assigned to the client, to the extent permitted by law. However, Mojo Communications retains ownership of all underlying tools, frameworks, methodologies, templates, and pre-existing intellectual property used in the creation of deliverables ("Background IP"). The client receives a non-exclusive, perpetual licence to use the Background IP solely as incorporated in their deliverables.
Mojo Communications reserves the right to display completed work in its portfolio, case studies, and marketing materials unless the client explicitly requests confidentiality in writing prior to project commencement. All third-party licences (stock imagery, fonts, software) incorporated into deliverables are the client's responsibility to maintain, and Mojo Communications will provide documentation of all such licences upon project handover.
6. Confidentiality
Both parties agree to maintain strict confidentiality with respect to any proprietary, sensitive, or non-public information disclosed by the other party in connection with the provision of services ("Confidential Information"). Confidential Information includes, without limitation, business strategies, financial data, client lists, technical systems, campaign performance data, and any information designated as confidential. Each party undertakes not to disclose Confidential Information to any third party without prior written consent and to use it solely for the purposes of the engagement.
The confidentiality obligation shall survive the termination of any service agreement for a period of two (2) years. These obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, is independently developed by the receiving party, or is required to be disclosed by applicable law or a court order, provided prompt notice is given to the disclosing party to allow them to seek protective relief.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Mojo Communications' total aggregate liability to any client for all claims arising under or in connection with a service engagement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the client to Mojo Communications in the three (3) months immediately preceding the event giving rise to the claim. Mojo Communications shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.
Mojo Communications provides no warranty, express or implied, that the use of our services will achieve any particular business objective, generate any specific volume of traffic, leads, or revenue, or that digital marketing campaigns will be uninterrupted or error-free. We will always act in good faith and apply our professional expertise to maximise results within the parameters of the engagement.
8. Termination
Either party may terminate a service engagement by providing thirty (30) days' written notice to the other party. In the event of termination by the client, any advance payments made are non-refundable, and the client shall pay for all work completed up to the date of termination on a pro-rata basis. In the event of termination by Mojo Communications (other than for client default), the client will receive a pro-rata refund of any pre-paid fees for services not yet rendered as of the termination date.
Mojo Communications reserves the right to terminate any service engagement immediately and without notice if the client breaches these Terms, fails to pay invoices within 30 days of the due date, engages in conduct that is illegal or that could damage Mojo Communications' reputation, or provides materials that infringe third-party intellectual property rights. Upon termination, Mojo Communications will hand over all client-owned assets and data within 14 business days, provided all outstanding balances have been settled in full.
9. Governing Law
These Terms and Conditions, and any disputes arising from or in connection with them or any service engagement with Mojo Communications Pvt. Ltd., shall be governed by and construed exclusively in accordance with the laws of India. The parties irrevocably submit to the exclusive jurisdiction of the courts situated in Delhi, India, for the resolution of any disputes. Before initiating formal legal proceedings, both parties agree to make a good-faith effort to resolve any dispute through direct negotiation for a period of at least 30 days.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable in whole or in part, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
